AlertBase Terms of Service

1. About AlertBase

AlertBase is a mobile application that organizes publicly available insider trading data sourced from the U.S. Securities and Exchange Commission (SEC) EDGAR filing system. The app displays insider transactions, provides watchlists, and shows trade analytics based on public filings. AlertBase is an informational tool only.

2. Acceptance of Terms

By downloading, installing, or using AlertBase, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the app.

3. Important Investment Disclaimer

The information presented in this app is for informational and educational purposes only. Nothing in AlertBase constitutes or should be construed as:

• A recommendation or solicitation to buy, sell, or hold any security
• Investment advice or financial guidance
• A guarantee or prediction of future stock performance
• A substitute for professional financial advice
• An endorsement of any particular trading strategy

Insider trading data displayed reflects publicly filed SEC Form 4 documents. The presence of insider buying or selling activity does not indicate that a stock will increase or decrease in value.

Trade analytics, insider scores, cluster buy signals, and AI-generated analysis are algorithmic interpretations of public data. These features are designed to organize information, not to recommend trades. Historical performance of insiders does not predict future results.

4. AlertBase Is Not a Broker or Advisor

AlertBase is not registered as a broker-dealer, investment advisor, or financial planner with the SEC, FINRA, or any state securities regulatory authority.

AlertBase does not execute trades, hold securities, manage portfolios, or provide personalized investment recommendations.

AlertBase does not have access to your brokerage accounts and cannot place orders on your behalf.

The "Portfolio Simulator" feature is a hypothetical backtesting tool only. Simulated results do not represent actual trading and should not be relied upon for investment decisions.

5. Data Accuracy & Limitations

All insider trading data is sourced from the SEC's EDGAR system (sec.gov/edgar). AlertBase is not affiliated with, endorsed by, or sponsored by the SEC.

While we strive for accuracy, data may be delayed, incomplete, or contain errors from the original filings. We do not guarantee the accuracy, completeness, or timeliness of any data displayed.

SEC filings may be amended or corrected after initial publication. AlertBase may not reflect all amendments in real time.

Stock prices shown in backtesting are sourced from third-party providers and may differ from actual trading prices.

6. Data Usage & Storage

Your personal data (watchlists, saved trades, followed insiders, preferences) is stored locally on your device.

Aggregated insider trading data is stored on our servers (Supabase).

Analytics data may be collected to improve the app experience. See our Privacy Policy for details.

You can export or delete all personal data at any time through Settings > Manage Data.

7. User Responsibilities

By using AlertBase, you acknowledge and agree that:

• All investment decisions are solely your own responsibility.
• You will not rely on AlertBase as your sole source of investment information.
• You understand the risks associated with investing in securities.
• You will comply with all applicable laws and regulations.
• You will not use the app to facilitate illegal insider trading or any unlawful activity.
• You will not attempt to reverse-engineer, modify, or distribute the app.

8. Subscriptions & Payments

AlertBase offers optional Pro subscriptions billed through Apple's App Store.

Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current period.

Payment is charged to your Apple ID account. You can manage or cancel subscriptions in your device's Settings > Apple ID > Subscriptions.

Refunds are subject to Apple's refund policy.

9. Limitation of Liability

AlertBase is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by applicable law, AlertBase and its developers shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or inability to use the app.
• Any errors, inaccuracies, or omissions in the data.
• Investment losses or financial damages resulting from decisions made using information from the app.
• Any unauthorized access to your data.
• Any interruption or cessation of the service.

10. Intellectual Property

The AlertBase app, including its design, code, branding, and original content, is the intellectual property of YoDaddyDesigns LLC. SEC EDGAR data is in the public domain. You may not copy, modify, or distribute the app or its proprietary content without written permission.

11. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be reflected by updating the "Last Updated" date above. Continued use of the app after changes constitutes acceptance of the revised terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of AlertBase shall be resolved through binding arbitration.
